Common use of Termination by Business Associate Clause in Contracts

Termination by Business Associate. If Business Associate makes the determination that a material condition of performance has changed under this Attachment F or that Covered Entity has breached a material term of this Attachment F, Business Associate may provide thirty (30) days advance notice of its intention to terminate the Purchase Order. Business Associate agrees, however, to cooperate with Covered Entity to find a mutually satisfactory resolution to the matter prior to terminating the Purchase Order.

Termination by Business Associate. If Business Associate makes the determination determines that a material condition of performance has changed under this Attachment F Agreement, or that Covered Entity has breached a material term violated the terms of this Attachment FAgreement, Business Associate may provide thirty (30) days advance prior written notice to Covered Entity of its intention to terminate the Purchase Orderthis Agreement. Business Associate agrees, however, agrees to cooperate with Covered Entity to find reach a mutually satisfactory resolution solution to the matter prior to terminating the Purchase Orderthis Agreement and this Agreement shall terminate only if such a solution is not reached.

If the Business Associate makes the determination that a material condition of performance has changed under the Contract or this Attachment F Agreement, or that the Covered Entity has breached a material term of this Attachment FAgreement, Business Associate may provide thirty (30) days advance notice of its intention to terminate the Purchase Orderthis Agreement. Business Associate agrees, however, to cooperate with Covered Entity to find a mutually satisfactory resolution to the matter prior to terminating and further agrees that, notwithstanding this provision, it shall not terminate this Agreement so long as the Purchase OrderContract is in effect.
