Termination of this Agreement by one Party due to the default of the other Party will not affect any right or duty emanating from any then existing City entitlement or approvals with respect to the Property, but the rights and obligations of the Parties will otherwise cease as of the date of such termination. If the City terminates this Agreement because of a default of the Owner, then the City will retain any and all benefits including, without limitation, money or land received by the City hereunder. If the Owner terminates this Agreement because of a default by the City, then the Owner will be entitled to a return or a refund of all unused benefits and fees paid, given or dedicated to the City pursuant to this Agreement.
