Termination by the Data Room Escrow Agent. The Data Room Escrow Agent shall be entitled to terminate this Data Room Escrow Agreement prior to the expiry of the time period set forth in Article 7.1 for cause pursuant to article 476 CO or in case of non-payment of any fee or compensation (or part thereof) by Sellers and/or Buyer for more than 60 (sixty) Business Days; provided, however, that the Data Room Escrow Agent shall be required to give 90 (ninety) calendar daysprior written notice for such termination to be effective.
