Termination due to Material Modification of Agreement by Court. If the Court modifies this Agreement in a material manner, other than in the amount of Class Counsel’s attorney’s fees, costs, and/or enhancement to the Class Representatives, the adversely-affected Party shall have the option to terminate this Settlement. If a party exercises the option to terminate this Settlement, that party shall: (a) provide written notice to opposing counsel within seven (7) calendar days after the Court’s ruling modifying this Agreement and (b) pay all Settlement Administration Costs incurred up to the date or as a result of the termination; and the Parties shall proceed in all respects as if this Agreement had not been executed. If the settlement is not approved, or if any party terminates this settlement, any payments previously paid by Defendant shall be returned to Defendant.
