TERMINATION FOR CAUSE BY CONTRACTOR. (1) This Agreement and the License granted under this Agreement remain in full force until Contractor terminates its performance as provided below: (a) Contractor may terminate this Agreement if the City (i) becomes insolvent or assigns its assets for the benefit of creditors; or (ii) if a receiver, trustee or, similar officer is appointed to take charge of the City's operations or properties; or (b) Contractor may terminate this Agreement if the City fails to comply with any material obligation required under this Agreement after receiving written notice of its non-compliance and the opportunity to cure the non- compliance.
