Termination for Voluntary Resignation, Mutual Agreement or Other Reasons. If the Employee's Termination Date occurs during the Agreement Period on account of his voluntary resignation, death, disability, mutual agreement of the parties, or any reason other than those specified in subparagraphs (b) or (c) above then, except as described in Paragraphs 9 and 10, or as agreed in writing between the Employee and the Company, the Employee shall have no right to future payments or benefits under this Agreement (and the Company shall have no obligation to make any such future payments or provide any such future benefits) for periods after the Employee's Termination Date. For purposes of this Agreement, the term "disability" shall mean with respect to an Employee, that the Employee is eligible for long term disability benefits under the long term disability plan maintained by the Company, or as otherwise determined in the sole discretion of the Company. Notwithstanding any other provision of this Agreement, the Employee shall automatically cease to be an officer and/or Trustee of the Company and any AMLI entity as of his Termination Date.
