Common use of Termination Generally Clause in Contracts

Termination Generally. If the Executive’s employment with the Company is terminated for any reason, the Company shall pay or provide to the Executive (or to his authorized representative or estate) (i) any Base Salary earned through the Date of Termination, unpaid expense reimbursements (subject to, and in accordance with, Section 2(c) of this Agreement) and unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the Executive’s Date of Termination; and (ii) any vested benefits the Executive may have under any employee benefit plan of the Company through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans (collectively, the “Accrued Benefit”).

Termination Generally. If the Executive’s employment with the Company Employers is terminated for any reason, the Company Employers shall pay or provide to the Executive (or to his authorized representative or estate) (i) any Base Salary earned through the Date of Termination, unpaid expense reimbursements (subject to, and in accordance with, Section 2(c) of this Agreement) and unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the Executive’s Date of Termination; and (ii) any vested benefits the Executive may have under any employee benefit plan of the Company Employers through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans (collectively, the “Accrued Benefit”).

If the Executive’s employment with the Company is Corporation or the Partnership shall be terminated for any reason, the Company Corporation and the Partnership shall pay or provide to the Executive (or to his the Executive’s authorized representative or estate) (i) any Base Salary base salary earned through the Date date of Terminationtermination, unpaid expense reimbursements (subject to, and in accordance with, Section 2(c) 3.3 of this Agreement) and unused vacation that accrued through the Date date of Termination termination on or before the time required by law but in no event more than 30 days after the Executive’s Date date of Terminationtermination; and (ii) any vested benefits the Executive may have under any employee benefit or compensation plan of the Company Corporation or the Partnership through the Date date of Terminationtermination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit or compensation plans (collectively, the “Accrued BenefitBenefits”).

If the ExecutiveEmployee’s employment with the Company is terminated for any reason, the Company shall pay or provide to the Executive Employee (or to his her authorized representative or estate) (i) any Base Salary base salary earned through the Date of Termination, unpaid expense reimbursements (subject to, and in accordance with, Section 2(c3(c) of this Agreement) and unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the ExecutiveEmployee’s Date of Termination; and (ii) any vested benefits the Executive Employee may have under any employee benefit plan of the Company through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans (collectively, the “Accrued Benefit”).

Termination Generally. If the Executive’s employment with the Company is terminated for any reason, the Company shall pay or provide to the Executive (or to his the Executive’s authorized representative or estate) (i) any Base Salary earned through the Date of Termination, unpaid expense reimbursements (subject to, and in accordance with, Section 2(c2(d) of this Agreement) and and, if applicable, unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the Executive’s Date of Termination; and (ii) any vested benefits the Executive may have under any employee benefit plan of the Company through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans (collectively, the “Accrued Benefit”).

Termination Generally. If the Executive’s employment with the Company is terminated for any reason, the Company shall pay or provide to the Executive (or to his the Executive’s authorized representative or estate) (i) any Base Salary or Modified Base Salary, as applicable, earned through the Date of Termination, ; (ii) unpaid expense reimbursements (subject to, and in accordance with, Section 2(c2(e) of this Agreement) and any accrued but unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the Executive’s Date of Terminationvacation; and (iiiii) any vested benefits the Executive may have or welfare benefits that may be due or convertible, under any employee benefit plan of the Company Employee Benefit Plan through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans Employee Benefit Plan; (collectively, iv) so long as (A) the “Accrued Benefit”).termination is not by the Company

If the Executive’s employment with the Company is terminated for any reason, the Company shall pay or provide to the Executive (or to his authorized representative or estate) (i) any Base Salary and Bonus earned through the Date of Termination, unused PTO that has accrued as of the Date of Termination and any unpaid expense reimbursements (subject to, and in accordance with, Section 2(c) of this Agreement) and unused vacation that accrued through the Date of Termination on or before the time required by law but in no event more than 30 days after the Executive’s Date of Termination; and (ii) any vested benefits the Executive may have under any employee benefit plan of the Company through the Date of Termination, which vested benefits shall be paid and/or provided in accordance with the terms of such employee benefit plans (collectively, the “Accrued Benefit”).
