Common use of Termination in relation to Guarantee Clause in Contracts

Termination in relation to Guarantee. 30.1.1 Where the Supplier has procured a Framework Guarantee pursuant to Clause 7.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor; (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor; (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Termination in relation to Guarantee. 30.1.1 33.1.1 Where the Supplier Authority has procured a Framework Guarantee pursuant to from the Supplier under Clause 7.1 8.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor; (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; or (e) the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 33.1.2 Where the Supplier is required to procure a Contracting Authority has procured a Call Off Guarantee pursuant to from the Supplier under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor;; or (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; (e) the Supplier fails to provide the documentation required by Clause 8.2 by the date so specified by the Contracting Authority; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Contracting Authority and/or Authority.

Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 8.3 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority; or the Supplier fails to provide the documentation required by Clause 8.3 by the date so specified by the Contracting Body.

Termination in relation to Guarantee. 30.1.1 33.1.1 Where the Authority has obtained a Panel Guarantee from the Supplier has procured a Framework Guarantee pursuant to under Clause 7.1 8.1 (Guarantee), the Authority may terminate this Framework Panel Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Panel Guarantor withdraws the Framework Panel Guarantee for any reason whatsoever; (b) the Framework Panel Guarantor is in breach or anticipatory breach of the Framework Panel Guarantee; (c) an Insolvency Event occurs in respect of the Framework Panel Guarantor; (d) the Framework Panel Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; or (e) the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as Panel Guarantee(as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 33.1.2 Where the Supplier is required to procure Panel Customers have procured a Call Off Guarantee pursuant to from the Supplier under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Panel Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor; (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.; or

Termination in relation to Guarantee. 30.1.1 33.1.1. Where the Supplier Authority has procured a Framework Guarantee from the Provider pursuant to Clause 7.1 8 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier Provider where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor; (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; or (e) the Provider fails to provide the documentation required by Xxxxxx 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority]. 30.1.2 33.1.2. Where the Supplier is required to procure a Contracting Authority has procured a Call Off Guarantee pursuant to from the Provider under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier Provider where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor; (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case whatsoever; or (e) the Call Off Guarantee (as applicable) is not replaced Provider fails to provide the documentation required by an alternative guarantee agreement acceptable to the Authority.Xxxxxx

AND Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority; or the Supplier fails to provide the documentation required by the date so specified by the Contracting Body.

Where the Supplier is required to procure a Contracting Authority has procured a Call Off Guarantee pursuant to from the Supplier under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; or the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; the Supplier fails to provide the documentation required by Clause 8.2 by the date so specified by the Contracting Authority; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Contracting Authority and/or Authority.

Termination in relation to Guarantee. 30.1.1 Where the Supplier has procured a Framework Guarantee pursuant to Clause 7.1 16 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) ; the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) ; an Insolvency Event occurs in respect of the Framework Guarantor; (d) ; the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever, and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 . Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 16.1.4 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever, and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Where the Supplier is required to procure a Contracting Authority has procured a Call Off Guarantee pursuant to from the Supplier under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; or the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; the Supplier fails to provide the documentation required by Clause 8.2 by the date so specified by the Contracting Authority; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Contracting Authority and/or Authority. [Guidance Note: this Clause will only be required if Clause 8.2 (Guarantee) is included. See Clause 8.2 (Guarantee) and the guidance note therein. Switch to “Not Used” if Clause 8.2 (Guarantee) is not used.

Termination in relation to Guarantee. 30.1.1 33.1.1 Where the Supplier Authority has procured a Framework Guarantee pursuant to from the Supplier under Clause 7.1 8.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor; (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; or (e) the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 33.1.2 Where the Supplier is required to procure CSL has procured a Call Off Guarantee pursuant to from the Supplier under Clause 7.2 8.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor;; or (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; (e) the Supplier fails to provide the documentation required by Clause 8.2 by the date so specified by CSL; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the AuthorityAuthority or CSL.

Termination in relation to Guarantee. 30.1.1 Where the Supplier has procured a Framework Guarantee pursuant to Clause 7.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) ; the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) ; an Insolvency Event occurs in respect of the Framework Guarantor; (d) ; the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) : the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) ; the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) ; an Insolvency Event occurs in respect of the Call Off Guarantor; (d) ; the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Termination in relation to Guarantee. 30.1.1 Where the Supplier has procured a Framework Guarantee pursuant to Clause Clause 7.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor; (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority. 30.1.2 Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor; (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Termination in relation to Guarantee. 30.1.1 32.1.1 Where the Supplier has procured a Framework Guarantee pursuant to Clause 7.1 8.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; (b) the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; (c) an Insolvency Event occurs in respect of the Framework Guarantor;; or (d) the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority; or (e) the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority. 30.1.2 32.1.2 Where the Supplier is required to procure a Call Off Guarantee pursuant to Clause 7.2 8.3 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: (a) the Call Off Guarantor withdraws the Call Off Guarantee for any reason whatsoever; (b) the Call Off Guarantor is in breach or anticipatory breach of the Call Off Guarantee; (c) an Insolvency Event occurs in respect of the Call Off Guarantor; (d) the Call Off Guarantee becomes invalid or unenforceable for any reason whatsoever whatsoever; and in each case the Call Off Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority; or (e) the Supplier fails to provide the documentation required by Clause 8.3 by the date so specified by the Contracting Body.
