Common use of Termination in relation to Guarantee Clause in Contracts

Termination in relation to Guarantee. Where the Authority has procured a Framework Guarantee from the Supplier under Clause 8.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; an Insolvency Event occurs in respect of the Framework Guarantor; the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever; or the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority.

Where the Authority Supplier has procured a Framework Guarantee from the Supplier under pursuant to Clause 8.1 (Guarantee), the Authority may terminate this Framework Agreement by issuing a Termination Notice to the Supplier where: the Framework Guarantor withdraws the Framework Guarantee for any reason whatsoever; the Framework Guarantor is in breach or anticipatory breach of the Framework Guarantee; an Insolvency Event occurs in respect of the Framework Guarantor; or the Framework Guarantee becomes invalid or unenforceable for any reason whatsoever; or the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority; and in each case the Framework Guarantee (as applicable) is not replaced by an alternative guarantee agreement acceptable to the Authority; or the Supplier fails to provide the documentation required by Clause 8.1 by the date so specified by the Authority.
