Termination of Chit Xxxxxx Xxxx’x Note. On or prior to the Closing, the HK Subsidiary and Chit Xxxxxx Xxxx shall terminate and cancel in its entirety the Memorandum of Terms for Private Placement of Convertible Promissory Notes of Light In the Box Limited dated as of June 21, 2007 by and between the HK Subsidiary and Chit Xxxxxx Xxxx (the “Memorandum”), and the HK Subsidiary shall be fully released and discharged from any obligations, liabilities, or any claims that Chit Xxxxxx Xxxx may have against it under the Memorandum.
