On or prior to the Closing, the Memorandum by and between the HK Subsidiary and Chit Xxxxxx Xxxx (the “Memorandum”) shall have been terminated and cancelled in its entirety, and the HK Subsidiary shall have been fully released and discharged from any obligations, liabilities, or any claims that Chit Xxxxxx Xxxx may have against it under the Memorandum.
