Termination of Continuous Service without Cause; for Good Reason. In the event of a termination of the Participant’s Continuous Service by the Company without Cause, or by the Participant for Good Reason, in each case other than as provided in Section 2(b) hereof, then the Award shall become 60% vested (including any vesting which may have already occurred) if such termination of Continuous Service occurs prior to [ , 2016](5) and shall become fully vested if such termination of Continuous Service occurs upon or following such date.
