Common use of Termination of Covenants Clause in Contracts

Termination of Covenants. All covenants of the Company contained in this Section 4 shall terminate upon the earlier of the closing of a Company Sale or the closing of an Initial Public Offering.

Termination of Covenants. All The covenants of the Company contained set forth in this Section 4 (other than those set forth in Section 4.8 and Section 4.11) shall terminate upon the earlier earliest to occur of: (i) immediately before the consummation of the Initial Offering, (ii) a Sale of the Company or a SPAC merger, provided that the provisions of Section 4.7 and Section 4.12 shall continue after the closing of a any Sale of the Company to the extent necessary to enforce the provisions of Section 4.7 with respect to such Sale or of the closing Company, and (iii) termination of an Initial Public Offeringthis Agreement in accordance with Section 5.7.
