Termination of Employee Stock Purchase Plan. On or before the Closing Date, the Company shall terminate it’s Employee Stock Purchase Plan (the “ESPP”). On the earlier of March 31, 2006, or the date the ESPP expires by its own terms, the Company shall suspend contributions to the ESPP.

Termination of Employee Stock Purchase Plan. The Company shall terminate the Amended and Restated 2000 Employee Stock Purchase Plan prior to the Effective Time and shall not permit any new offering period to begin after the date of this Agreement and prior to the Effective Time.
Termination of Employee Stock Purchase Plan. Prior to the time that the Purchaser accepts for payment and pays for the Shares validly tendered in the offer, Monogram will take any and all actions necessary to terminate its 2000 Employee Stock Purchase Plan, effective on the date immediately prior to closing of the merger. Following the Purchase Date of the current Offering Period, there shall no longer remain any outstanding rights to purchase Shares under the ESPP.
