Exercise Date definition

Exercise Date means the last day of each Offering Period.

• Such Definitive Certificate shall be dated the Initial Exercise Date of the Warrants, shall be manually executed by an authorized signatory of the Company, shall be in the form attached hereto as Exhibit 1-A or Exhibit 1-B and shall be reasonably acceptable in all respects to such Holder.

• The aggregate exercise price of this Warrant, except for a nominal exercise price of $0.001 per Warrant Share, was pre-funded to the Company on or prior to the Initial Exercise Date and, consequently, no additional consideration (other than the nominal exercise price of $0.001 per Warrant Share) shall be required to be paid by the Holder to any Person to effect any exercise of this Warrant.

More Definitions of Exercise Date

Exercise Date means, in relation to a Warrant, the Business Day on which such Warrant is validly exercised or deemed to be validly exercised in accordance with Article 3 hereof;

Exercise Date means the last day of each Purchase Period.

Exercise Date means, for any given exercise of this Warrant, the date on which the conditions to such exercise as set forth in Section 4 shall have been satisfied at or prior to 5:00 p.m., New York City time, on a Business Day, including, without limitation, the receipt by the Company of the Exercise Form, the Warrant and the Aggregate Exercise Price.

Exercise Date shall have the meaning set forth in Section 2.1 hereof.

Exercise Date means the last business day of each Offering Period of the Plan.
