Termination of Employment and Severance Agreement. Effective July 31, 2006, Xx. Xxxxxxx will be terminated from all positions held by him as an officer, employee or director of Nalco, and all of its subsidiaries and affiliates. Xx. Xxxxxxx shall execute any requested forms to resign from such positions. The terms and conditions of the Severance Agreement are incorporated herein by reference.
