Common use of Termination of Employment by the Executive Clause in Contracts

Termination of Employment by the Executive. 6.1 The Executive may terminate his employment with the Company at any time for any reason by providing not less than twelve (12) months written notice to the Company.

Notwithstanding the provisions of Section 2 of this Agreement, the Executive may terminate his employment with the Company this Agreement at any time for any reason by providing not less than twelve (12) months giving the Board of Directors written notice of his intent to terminate, delivered at least sixty (60) days prior to the Companyeffective date of such termination. The Executive's employment shall terminate upon the date specified in his notice of termination. Thereafter, the Executive shall thereupon be entitled to the same payments and benefits as provided in Section 6(c)(i)-(iv) above. All unexercised or unvested options shall be subject to the terms and conditions of their grant and the Plan.

Upon the Executive’s termination without Good Reason (other than upon death or Disability), (i) any unvested portions of the Initial Grant will be immediately forfeited and (ii) all of the Executive’s vested Option Rights, if any, shall remain exercisable in accordance with their terms, but in all events for at least 90 days following the date of termination.

Termination of Employment by the Executive. 6.1 The Executive may terminate this Agreement and resign his employment with the Company at any time and for any reason reason, by providing not less than twelve (12) months giving written notice thereof to the CompanyChief Executive Officer at least thirty (30) days prior to the effective date of resignation. Upon the Executive providing the Company with written notice of his resignation, the Company may at its option elect to have the Executive cease to provide services immediately; provided that, the Executive shall be paid his Base Salary and any other compensation to which he becomes entitled during that notice period.
