Termination of Employment Due to the Expiration of the Term of Employment. If the Executive’s employment terminates as a result of the expiration of the Term of Employment, the Executive shall be entitled to the following: (i) payment of Base Salary and Cost of Living Allowance through the last day of his employment; (ii) payment of the Standard Benefit; (iii) if earned by the Executive but not yet paid at the time of his termination of employment due to the expiration of the Term of Employment, an annual incentive award for the year prior to the year in which the Executive’s employment terminates, payable in accordance with Section 5; and (iv) an annual incentive award with respect to the year in which the Executive’s employment terminates as a result of the expiration of the Term of Employment, prorated based on the target annual bonus and the number of days worked in such year and payable in accordance with Section 5.
