Termination of Employment With Good Reason. In addition to any ------------------------------------------ other remedies available to Executive at law, in equity or as set forth in this Agreement, Executive shall have the right, upon written notice to the Company, to terminate his employment hereunder upon the occurrence of any of the following events without the prior written consent of Executive, unless the Company shall have fully cured all grounds for such termination within 15 days after Executive gives notice thereof: (a) a material diminution in Executive's duties or the assignment to Executive of duties that are materially inconsistent with or materially impair his ability to perform the duties set forth herein; or (b) a material reduction in Executive's then current Base Salary; or (c) the relocation by the Company of Executive's principal place of employment to a location more than 50 miles from such principal place of employment; or (d) a breach by the Company of any material provision of this Agreement (a "Termination With Good Reason").
