Common use of Termination of License to Artiva Clause in Contracts

Termination of License to Artiva. All rights and licenses granted to Artiva hereunder shall terminate, except for any and all licenses that survive expiration or termination in accordance with the last sentence of Section 3.2(b); provided that if this Agreement is terminated by GCLC pursuant to Section 5.2 or 5.3, any sublicense granted to a Sublicensee that is not in breach under the applicable sublicense (and whose actions or omissions did not result in a breach by Artiva giving rise to GCLC’s right of termination) will continue as a direct license from GCLC so long as the Sublicensee makes all payments to GCLC required under Section 3.2 and Section 3.3.

Termination of License to Artiva. All rights and licenses granted to Artiva hereunder shall terminate, except for any and all licenses that survive expiration or termination in accordance with the last sentence of Section 3.2(b6.1(b); provided that if this Agreement is terminated by GCLC pursuant to Section 5.2 10.2 or 5.310.3, any sublicense granted to a Sublicensee that is not in breach under the applicable sublicense (and whose actions or omissions did not result in a breach by Artiva giving rise to GCLC’s right of termination) will continue as a direct license from GCLC so long as the Sublicensee makes all payments to GCLC required under Section 3.2 and Section 3.36.1.

Termination of License to Artiva. All rights and licenses granted to Artiva hereunder shall terminateterminate and the licenses shall revert to GCC, except for any and all licenses that survive expiration or termination in accordance with the last sentence of Section 3.2(b); provided that if this Agreement is terminated by GCLC GCC pursuant to Section 5.2 6.2 or 5.36.3, any sublicense granted to a Sublicensee that is not in breach under the applicable sublicense (and whose actions or omissions did not result in a breach by Artiva giving rise to GCLCGCC’s right of termination) will continue as a direct license from GCLC GCC so long as the Sublicensee makes all payments to GCLC GCC required under Section 3.2 and Section 3.3.
