Common use of Termination of MOU Clause in Contracts

Termination of MOU. A. If the Service Provider fails to perform any of the services or any of his/her obligations hereunder during the term of this MOU, then RESA shall have the right to immediately terminate this MOU with and for cause upon thirty (30) days written notice to the Service Provider and to recover damages caused by reason of the breach by Service Provider of his/her obligations to the extent authorized by Georgia law. If, at the time of termination pursuant to this paragraph, Service Provider has rendered a portion of the services for which her/she has not been paid, Service Provider may request payment for such services; provided that any payment for such services shall be made solely at the discretion of RESA. X. XXXX may terminate this MOU without cause by giving thirty (30) days written notice to the Service Provider, in which event this MOU shall be terminated immediately upon the date on which such notice is given. Further, RESA may immediately terminate this MOU if Service Provider is unable to perform the services set forth herein. If, at the time of termination, pursuant to this paragraph, Service Provider has rendered a portion of the services for which it has not been paid, RESA shall reimburse the Service Provider for services rendered up through the date of termination, such reimbursement to be made in a fair manner determined by RESA in its discretion. C. Notwithstanding any other provisions of this MOU, if the source of payment for any obligation of the RESA under this MOU no longer exists, this MOU shall expire without further obligation of RESA as of that moment. RESA shall remain obligated to pay for services performed and accepted by it prior to such expiration. The determination of RESA as to non-existence or insufficiency of funds will be conclusive. D. Upon termination of this MOU for any reason, Service Provider shall: 1) immediately discontinue all services affected (unless RESA directs otherwise) and 2) deliver to the RESA all data, reports, summaries, and such other information and materials as may have been prepared for and/or accumulated by Service Provider in performing this MOU whether completed or in progress.

Termination of MOU. A. If (A) This MOU may be terminated in its entirety by either party upon sixty (60) days’ written notice to the Service Provider other party. This MOU may be terminated by CTDOT at any time if XXXXX fails to comply with all Federal and State of Connecticut ordinances, laws, regulations and policies, as applicable to their respective organizations, or fails to perform any in accordance with the terms and conditions set forth in this MOU. UCONN will immediately act to minimize project costs upon issuing or receiving such notice, and will submit to CTDOT a report describing all work completed to date. (B) This Agreement may be terminated by either party on at least sixty days (60) days advance written notice to the other party specifying the date of termination. (C) CTDOT will reimburse UCONN a percentage of the services total project cost that is equal to the percentage of work completed. (D) Upon receipt of written notification from either party that this MOU is to be terminated, UCONN shall immediately cease operations on work stipulated in this MOU and assemble all material that has been prepared, developed, furnished or any of his/her obligations hereunder during obtained under the term terms of this MOU, then RESA that may be in its possession or custody and shall have transmit the right same to immediately terminate this MOU with and for cause upon thirty CTDOT on or before the sixtieth (3060th) days day following the receipt of the written notice to of termination. Said material shall include, but not be limited to, documents, plans, computations, drawings, notes, records, correspondence, and other deliverables. (E) In the Service Provider and to recover damages caused by reason of the breach by Service Provider of his/her obligations to the extent authorized by Georgia law. If, at the time event of termination pursuant to this paragraph, Service Provider has rendered a portion of the services for which her/she has not been paid, Service Provider may request payment for such services; provided that any payment for such services shall be made solely at the discretion of RESA. X. XXXX may terminate this MOU without cause by giving thirty (30) days written notice to the Service Provider, in which event this MOU shall be terminated immediately upon the date on which such notice is given. Further, RESA may immediately terminate this MOU if Service Provider is unable to perform the services set forth herein. If, at the time of termination, pursuant to this paragraph, Service Provider has rendered a portion of the services for which it has not been paid, RESA shall reimburse the Service Provider for services rendered up through the date of termination, such reimbursement to be made in a fair manner determined by RESA in its discretion. C. Notwithstanding any other provisions of this MOU, if UCONN shall permit the source authorized representatives of payment for any obligation CTDOT, the United States Department of Transportation, the Federal Highway Administration and the Office of the RESA Inspector General to inspect and audit all data and records of UCONN relating to its performance under this MOU no longer exists, this MOU shall expire without further obligation until the expiration of RESA as of that moment. RESA shall remain obligated to pay for services performed and accepted by it prior to such expiration. The determination of RESA as to non-existence or insufficiency of funds will be conclusive. D. Upon three (3) years after termination of this MOU for any reason, Service Provider shall: 1) immediately discontinue project under this MOU. UCONN further agrees to include in all services affected (unless RESA directs otherwise) and 2) deliver its subcontracts here under a provision to the RESA all dataeffect that the subcontractor agrees that CTDOT, reportsthe United States Department of Transportation, summariesthe Federal Highway Administration and the Office of the Inspector General, or any of their duly authorized representatives, shall until the expiration of three (3) years after termination of the project under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers, and records of such other information and materials as may have been prepared for and/or accumulated by Service Provider in performing this MOU whether completed or in progresssubcontractor, involving transactions related to the subcontract.
