Common use of Termination of Registration Clause in Contracts

Termination of Registration. Prosper may, in its sole discretion, with or without cause, terminate this Agreement at any time by giving you notice as provided below. In addition, upon our determination that you committed fraud or made a material misrepresentation in connection with a listing, investor commitment or loan, performed any prohibited activity, or otherwise failed to abide by the terms of this Agreement or the Prosper Terms and Conditions, we may, in our sole discretion, immediately and without notice, take one or more of the following actions: (i) terminate or suspend your right to submit listings or otherwise participate on the Platform; or (ii) terminate this Agreement and your registration with Prosper. Upon termination of this Agreement and your registration with Prosper, any listings you have submitted through the Platform shall be cancelled, and will be removed from the Platform immediately. Any loans you obtain prior to the effective date of termination resulting from listings you had placed on the Platform shall remain in full force and effect in accordance with their terms.

Upon termination of this Agreement and your registration with Prosper, any listings you have submitted through placed on the Platform Prosper website shall be cancelledterminate, and will be removed from the Platform Prosper website immediately. Any loans Loans you obtain prior to the effective date of termination resulting from listings you had placed on the Platform Prosper website shall remain in full force and effect in accordance with their terms.

In addition, upon our determination that you committed fraud or made a material misrepresentation in connection with a listing, investor lender commitment or loan, performed any prohibited activity, or otherwise failed to abide by the terms of this Agreement or the Prosper Terms and Conditions, we may, in our sole discretion, immediately and without notice, take one or more of the following actions: (i) terminate or suspend your right to submit post listings or otherwise participate on the Platformplatform; or (ii) terminate this Agreement and your registration with Prosperregistration. Upon termination of this Agreement and your registration with Prosperregistration, any listings you have submitted through posted on the Platform platform shall be cancelled, and will be removed from the Platform platform immediately. Any loans you obtain prior to the effective date of termination resulting from listings you had placed on the Platform platform shall remain in full force and effect in accordance with their terms.
