Common use of Termination of SAR Clause in Contracts

Termination of SAR. In the event of the Grantee’s termination of Continued Service, the Grantee shall have the right to exercise any vested but unexercised portion of this SAR for the timeframe indicated in the table below following the date of such termination of Continued Service. Any unvested portion of this SAR automatically will terminate and be forfeited (at no cost to the Company) on the first day on which it no longer is possible such portion to become vested: • Involuntary termination for Cause • Involuntary termination without Cause (not Retirement-eligible) • Voluntary resignation (not Retirement-eligible) Earlier of Expiration Date or ninety (90) days after the date of termination of Continued Service (excluding any period during which Grantee is prohibited from trading under the Company’s Xxxxxxx Xxxxxxx Policy) • Death • Disability • Qualifying Termination Earlier of Expiration Date or twelve (12) months after the date of termination of Continued Service • Retirement-Eligible Separation (defined below) Through the Expiration Date
