Termination of Status of Adviser and Managers Transfers and Repurchases. 3.1 Termination of Status of the Adviser The status of the Adviser as the Special Advisory Member shall terminate if the Investment Advisory Agreement with the Adviser terminates and the Fund does not enter into a new Investment Advisory Agreement with the Adviser, effective as of the date of such termination.
