Common use of Termination of Sub-Contracts Clause in Contracts

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 (Customer Termination Rights) except Clause 41.6 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 30 (Customer Termination Rights) except Clause 41.6 30.9 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months Months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 11 (Customer Termination RightsTermination) except Clause 41.6 11.5 (Termination Without Causeon Notice); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Ordered Panel Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 45 (Customer Termination Rights) except Clause 41.6 45.6 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 50 (Customer Termination Rights) except Clause 41.6 50.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 39 (Customer Termination Rights) except Clause 41.6 39.6 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 44 (Customer Termination Rights) except Clause 41.6 44.8 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods Products and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. 29.4.1 The Customer may require the Supplier to terminate: : (a) a Sub-Contract where: : (i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 (Customer Termination Rights) except Clause 41.6 41.7 (Termination Without Cause); and/or and/or (ii) the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: : (i) the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or or (ii) the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 44 (Customer Termination Rights) except Clause 41.6 44.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods Products and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 (Customer Termination Rights) except Clause 41.6 41.3 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 38 (Customer Termination Rights) except Clause 41.6 38.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 52 (Customer Termination Rights) except Clause 41.6 52.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 46. (Customer Termination Rights) except Clause 41.6 46.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. 22.4.1 The Customer may require the Supplier to terminate: : a) a Sub-Contract contract where: : (i) the acts or omissions of the relevant Sub-Contractor contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 31 (Customer Termination Rights) except Clause 41.6 31.6 (Termination Without Cause); and/or and/or (ii) the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or and/or b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: : (i) the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or or (ii) the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 56 (Customer Termination Rights) except Clause 41.6 56.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

Termination of Sub-Contracts. 29.4.1 The Customer may require the Supplier to terminate: : (a) a Sub-Contract where: : (i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant any of the termination events in Clause 41 (Customer Termination Rights) except Clause 41.6 (Termination Without Cause); and/or and/or (ii) the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: : (i) the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or or (ii) the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.

The Customer may require the Supplier to terminate: a Sub-Contract where: the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Customer's right of termination pursuant to any of the termination events in Clause 41 43 (Customer Termination Rights) except Clause 41.6 43.7 (Termination Without Cause); and/or the relevant Sub-Contractor or its Affiliates embarrassed the Customer or otherwise brought the Customer into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Customer, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Goods and/or Services or otherwise; and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Contractor, unless: the Customer has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or the Customer has not served its notice of objection within six (6) months of the later of the date the Change of Control took place or the date on which the Customer was given notice of the Change of Control.
