Common use of Termination of Sub-Contracts Clause in Contracts

Termination of Sub-Contracts. 25.3.1 The Authority may require the Supplier to terminate: (a) a Sub-Contract where: i. the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Authority's right of termination pursuant to any of the termination events in Clause 33 (Authority Termination Rights) except Clause 33.7 (Termination Without Cause); and/or ii. the relevant Sub-Contractor or its Affiliates embarrassed the Authority or otherwise brought the Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Authority, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractor, unless: i. the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or ii. the Authority has not served its notice of objection within six

(i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Authority's right of termination pursuant to any of the termination events in Clause 33 31 (Authority Termination Rights) except Clause 33.7 31.6 (Termination Without Cause); and/or (ii. ) the relevant Sub-Contractor or its Affiliates embarrassed the Authority or otherwise brought the Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Authority, regardless of whether or not such act or omission is related to the Sub-Sub- Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-Sub- contractor, unless: i. (i) the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or (ii. ) the Authority has not served its notice of objection within sixsix (6) months of the later of the date the Change of Control took place or the date on which the Authority was given notice of the Change of Control.

(i) the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or (ii. ) the Authority has not served its notice of objection within sixsix (6) months of the later of the date the Change of Control took place or the date on which the Authority was given notice of the Change of Control.

(Contracting Authority Termination Rights) except Clause 33.7 41.6 (Termination Without Cause); and/or ii. and/or the relevant Sub-Contractor or its Affiliates embarrassed the Contracting Authority or otherwise brought the Contracting Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Contracting Authority, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) and/or a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractorContractor, unless: i. : the Contracting Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or ii. or the Contracting Authority has not served its notice of objection within sixsix (6) Months of the later of the date the Change of Control took place or the date on which the Contracting Authority was given notice of the Change of Control.

(i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Authority's right of termination pursuant to any of the termination events in Clause 33 28 (Authority Termination Rights) except Clause 33.7 28.6 (Termination Without Cause); and/or (ii. ) the relevant Sub-Contractor or its Affiliates embarrassed the Authority or otherwise brought the Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Authority, regardless of whether or not such act or omission is related to the Sub-Sub- Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractor, unless: i. (i) the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or (ii. ) the Authority has not served its notice of objection within sixsix (6) months of the later of the date the Change of Control took place or the date on which the Authority was given notice of the Change of Control.

Termination of Sub-Contracts. 25.3.1 19.4.1 The Authority may require the Supplier to terminate: (a) a Sub-Contract where: i. the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Authority's right of termination pursuant to any of the termination events in Clause 33 27 (Authority Termination Rights) except Clause 33.7 27.4 (Termination Without Cause); and/or ii. the relevant Sub-Contractor or its Affiliates embarrassed the Authority or otherwise brought the Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Authority, regardless of whether or not such act or omission is related to the Sub-Sub- Contractor’s obligations in relation to the Panel Goods and/or Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractor, unless: i. the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or ii. the Authority has not served its notice of objection within sixsix (6) months of the later of the date the Change of Control took place or the date on which the Authority was given notice of the Change of Control.

(i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Authority's right of termination pursuant to any of the termination events in Clause 33 34 (Authority Termination Rights) except Clause 33.7 34.7 (Termination Without Cause); and/or (ii. ) the relevant Sub-Contractor or its Affiliates embarrassed the Authority or otherwise brought the Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Authority, regardless of whether or not such act or omission is related to the Sub-Sub- Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractorContractor, unless: i. (i) the Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or (ii. ) the Authority has not served its notice of objection within sixsix (6) months of the later of the date the Change of Control took place or the date on which the Authority was given notice of the Change of Control.

(i) the acts or omissions of the relevant Sub-Contractor have caused or materially contributed to the Contracting Authority's right of termination pursuant to any of the termination events in Clause 33 41 (Contracting Authority Termination Rights) except Clause 33.7 41.6 (Termination Without Cause); and/or (ii. ) the relevant Sub-Contractor or its Affiliates embarrassed the Contracting Authority or otherwise brought the Contracting Authority into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in the Contracting Authority, regardless of whether or not such act or omission is related to the Sub-Contractor’s obligations in relation to the Panel Services or otherwise; and/or (b) a Key Sub-Contract where there is a Change of Control of the relevant Key Sub-contractorContractor, unless: i. (i) the Contracting Authority has given its prior written consent to the particular Change of Control, which subsequently takes place as proposed; or (ii. ) the Contracting Authority has not served its notice of objection within sixsix (6) Months of the later of the date the Change of Control took place or the date on which the Contracting Authority was given notice of the Change of Control.
