Termination of Voting Agreement Term. Section 5 hereof shall terminate and have no further force or effect upon the earliest to occur of: (a) the date that is the later of (i) the third anniversary of the Closing Date and (ii) the date of the Second Pivotal Clinical Trial Readout; (b) the beneficial ownership of the Standstill Parties falls below three percent (3%) of the Shares of Then-Outstanding Common Stock; (c) a Change of Control of the Company; (d) the expiration or earlier valid termination of the Collaboration Agreement; and (e) a liquidation or dissolution of the Company.
