Early Termination of the Employment Period. Notwithstanding Section 1(b) hereof, the Employment Period shall end upon the earliest to occur of (i) a Termination For Cause, (ii) a Termination Without Cause, (iii) a Voluntary Termination, (iv) a Termination Due to Retirement, (v) a Termination Due to Disability, or (vi) a Termination Due to Death.

Early Termination of the Employment Period. If, during the Initial Term or any Extended Term, as applicable, the Executive’s employment terminates for any reason, including but not limited to, the Executive’s death or Disability (as hereinafter defined), termination by the Employers with or without Cause (as hereinafter defined) or voluntary termination by the Executive with or without Good Reason (as hereinafter defined), the Employment Period shall thereupon end and, except as otherwise provided herein, this Agreement shall terminate upon the effective date of such termination as set forth in a Notice of Termination (as hereinafter defined).
Early Termination of the Employment Period. Notwithstanding Section 2 hereof, the Employment Period shall end upon the earliest to occur of (i) Executive’s death, (ii) a Termination due to Disability (as defined below), (iii) a Termination for Cause, (iv) a Termination for Good Reason, or (v) a Termination Without Cause. Except as otherwise expressly provided below, the terms “Cause” and “Good Reason” shall have the same meaning ascribed thereto under the Executive Severance Plan, as in effect at the Effective Date. For purposes of this Agreement “Disability” shall mean: a termination of Executive’s employment by the Company because Executive has been incapable of substantially fulfilling the positions, duties, responsibilities and obligations set forth in this Agreement because of physical, mental or emotional incapacity resulting from injury, sickness or disease for a period of (i) at least four consecutive months or (ii) more than six months in any twelve month period. Any question as to the existence, extent or potentiality of Executive’s disability upon which Executive and the Company cannot agree shall be determined by a qualified, independent physician selected by the Company. The determination of any such physician shall be final and conclusive for all purposes of this Agreement.
Early Termination of the Employment Period. Notwithstanding Paragraph 1(b), the Employment Period shall end upon the earliest to occur of (i) the date of Executive's death, (ii) 30 days following delivery by the Company of written notice to Executive of a Termination due to Disability, (iii) immediately upon delivery by the Company of written notice to Executive of a Termination for Cause, (iv) three months following the date of delivery by the Company of written notice to Executive of a Termination Without Cause, provided that, subject to the continued payment to Executive of installments of his Base Salary for the period ending three months following the date the Company delivers such notice of termination to Executive, the Company may elect to direct Executive to refrain from reporting to employment as of any earlier date specified in such notice, (v) the date specified in any written notice delivered by Executive to the Company of a Termination for Good Reason, which date shall be at least 30 days after the delivery of such notice, or (vi) three months following the date of delivery by Executive of written notice to the Company of the Executive's resignation from employment, other than a Termination for Good Reason.

As used herein, the term "Disability" shall mean a determination that Executive suffers from illness or other physical or mental impairment that prevents Executive from substantially performing his duties for a period of 270 days during any 12-month period during the Employment Period or for 365 days during any 24-month period during the Employment Period. The determination of whether (and, if appropriate, when) a Disability has occurred shall be made by two licensed physicians, one chosen by a majority of the Board of Directors of Triton and one chosen by Executive (or his personal representative); provided, however, that if the two physicians do not agree with respect to whether (or, if appropriate, when) a Disability has occurred, such determination shall be made by a third licensed physician chosen by said two physicians.

As used herein, the term "Disability" shall mean a determination that Executive suffers from illness or other physical or mental impairment that prevents Executive from substantially performing his duties for a period of 90 days during any six-month period during the Employment Period or for 180 days during any 12-month period during the Employment Period. The determination of whether (and, if appropriate, when) a Disability has occurred shall be made by a majority of the Board of Directors of the Company (excluding the Senior Executives that are directors of the Company);
