Common use of Termination on Change of Control Clause in Contracts

Termination on Change of Control. 33.5.1 The Supplier shall notify the Authority immediately in writing and as soon as the Supplier is aware (or ought reasonably to be aware) that it is anticipating, undergoing, undergoes or has undergone a Change of Control and provided such notification does not contravene any Law. 33.5.2 The Supplier shall ensure that any notification made pursuant to Clause 33.5.1 shall set out full details of the Change of Control including the circumstances suggesting and/or explaining the Change of Control. 33.5.3 The Authority may terminate this Framework Agreement under Clause 33.5 by issuing a Termination Notice to the Supplier within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

The Contracting Authority may terminate this Framework Agreement under Clause 33.5 Call Off Contract by issuing a Termination Notice under Clause 41.4 to the Supplier within six (6) Months of: (a) : being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) or where no notification has been made, the date that the Contracting Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control. Termination for breach of Regulations The Contracting Authority may terminate this Call Off Contract by issuing a Termination Notice to the Supplier on the occurrence of any of the statutory provisos contained in Regulation 73 (1) (a) to (c).

The Authority may terminate this Framework Dynamic Purchasing System Agreement under Clause 33.5 75.5 by issuing a Termination Notice to the Supplier within six (6) Months of: (a) : being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) or where no notification has been made, the date that the Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

Termination on Change of Control. 33.5.1 28.4.1 The Supplier shall notify the Authority immediately in writing and as soon as the Supplier is aware (or ought reasonably to be aware) that it is anticipating, undergoing, undergoes or has undergone a Change of Control and provided such notification does not contravene any Law. 33.5.2 28.4.2 The Supplier shall ensure that any notification made pursuant to Clause 33.5.1 Clause 28.4.1 shall set out full details of the Change of Control including the circumstances suggesting and/or explaining the Change of Control. 33.5.3 28.4.3 The Authority may terminate this Framework Agreement under Clause 33.5 28.4 by issuing a Termination Notice to the Supplier within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

Termination on Change of Control. 33.5.1 41.4.1 The Supplier shall notify the Contracting Authority immediately in writing and as soon as the Supplier is aware (or ought reasonably to be aware) that it is anticipating, undergoing, undergoes or has undergone a Change of Control and provided such notification does not contravene any Law. 33.5.2 41.4.2 The Supplier shall ensure that any notification made pursuant to Clause 33.5.1 41.4.1 shall set out full details of the Change of Control including the circumstances suggesting and/or explaining the Change of Control. 33.5.3 41.4.3 The Contracting Authority may terminate this Framework Agreement under Clause 33.5 Call Off Contract by issuing a Termination Notice under Clause 41.4 to the Supplier within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Contracting Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

Termination on Change of Control. 33.5.1 The To the extent permitted by Law, the Supplier shall notify the Authority immediately in writing and as soon as if the Supplier is aware (or ought reasonably intending to be aware) that it is anticipating, undergoingundergo, undergoes or has undergone a Change of Control and provided such notification does not contravene any Lawshall notify the Authority immediately in writing of the circumstances suggesting and/or explaining that a Change of Control is planned or is in contemplation or has taken place. 33.5.2 The Supplier shall ensure that any notification made pursuant to Clause Clause 33.5.1 shall set out full details of the Change of Control including the circumstances suggesting and/or explaining the Change of Control. 33.5.3 The Authority may terminate this Framework Agreement under Clause 33.5 by issuing a Termination Notice to the Supplier within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated planned or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Authority becomes aware that a Change of Control is anticipated planned or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

Termination on Change of Control. 33.5.1 41.5.1 The Supplier shall notify the Authority Customer immediately in writing and as soon as the Supplier is aware (or ought reasonably to be aware) that it is anticipating, undergoing, undergoes or has undergone a Change of Control and provided such notification does not contravene any Law. 33.5.2 41.5.2 The Supplier shall ensure that any notification made pursuant to Clause 33.5.1 41.5.1 shall set out full details of the Change of Control including the circumstances suggesting and/or explaining the Change of Control. 33.5.3 41.5.3 The Authority Customer may terminate this Framework Agreement under Clause 33.5 Call Off Contract by issuing a Termination Notice under Clause 41.5 to the Supplier within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Authority Customer becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.

The Authority may terminate this Framework Agreement under Clause 33.5 by issuing a Termination Notice to the Supplier Provider within six (6) Months of: (a) being notified in writing that a Change of Control is anticipated or is in contemplation or has occurred; or (b) where no notification has been made, the date that the Authority becomes aware that a Change of Control is anticipated or is in contemplation or has occurred, but shall not be permitted to terminate where an Approval was granted prior to the Change of Control.
