TERMS AND CONDITIONS OF SUPPLY AGREEMENT. Such agreement shall contain terms and conditions customary for such a supply agreement. In particular, the parties hereby agree that the pricing from THOMXX xxx the Product under such supply agreement shall be in accordance with a volume discount pricing matrix as set forth in Appendix 7 attached hereto, which pricing matrix will establish an absolute initial price ceiling for the Product under the supply agreement and will provide a framework to establish the Product costs for variable length production campaigns. In APPENDIX 11 COULXXX xxx laid down its present forecast estimation of its total requirements of Product. This forecast is non-binding however, THOMXX'x xxxacity planning for commercial supply is based on and ceiled by COULXXX'x xxxecast.
