In particular. THIS AGREEMENT IS INTENDED TO COMPLY WITH THE REQUIREMENTS OF THE ACT AND THE CERTIFICATE OF FORMATION. IN THE EVENT OF A DIRECT CONFLICT BETWEEN THE PROVISIONS OF THIS AGREEMENT AND THE MANDATORY PROVISIONS OF THE ACT OR ANY PROVISION OF THE CERTIFICATE OF FORMATION, THE ACT AND THE CERTIFICATE OF FORMATION, IN THAT ORDER OF PRIORITY, WILL CONTROL.
In particular. GIFTET, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT:
(a) YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS,
(b) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR,
(c) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, AND
(d) THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO YOU AS PART OF THE SERVICES WILL BE CORRECTED.
In particular. THE SERVICE PROVIDER, ITS SUBSIDIARIES, AFFILIATES, RESELLERS, OEMS, VARS, AND LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT:
(a) YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS,
(b) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY OR FREE FROM ERROR,
(c) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, AND
(d) THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO YOU AS PART OF THE SERVICES WILL BE CORRECTED.
In particular. The Arbitrator cannot in making his/her decision evaluate, review, or in any other manner involve the contents of the disputed document.
In particular. (a) the use of the Client’s alphanumeric access codes and, more in general, the authorization and authentication credentials assigned to the Client to access the Trustfull Platform (jointly, the “Access Credentials”) is reserved exclusively for one person identified by the Client as the reference person in relation to the provision of the Service (the “Reference Person”), which name and contacts will be notified in writing by the Client to Trustfull as soon as possible after the date of execution of this Agreement;
(b) if the Client intends to appoint a different Reference Person, it must previously notify Trustfull in writing of such appointment, it being understood that the Access Credentials must not be used by more than one Reference Person at a time;
(c) the Client undertakes to keep the Access Credentials as strictly private and confidential and not to disclose them to any person other than the Reference Person;
(d) the Client must keep its Access Credentials in an accurate and exclusive manner and must take every action and precaution to avoid improper use of the same. The Client will be solely liable for the safekeeping of its Access Credentials and no liability of Trustfull may arise in the event that such Access Credentials are disclosed or become known to any third party different from the Reference Person;
(e) the Client will be solely liable vis-à-vis Trustfull and any other third party for any damages, losses, liabilities, costs, charges and expenses of any kind caused by the use of its Access Credentials by unauthorized third parties other than the Reference Person.
In particular. 7.1.1.1. If the system is fitted with a monitoring device intended to inform the user of its operating condition, it shall be clearly indicated how messages delivered by the system, of whatever kind, are to be interpreted. An indication shall be given of measures to be taken in the event of a message warning of malfunctioning, together with a description of any risk involved in using the vehicle in such a condition;
7.1.1.2. It shall be indicated whether maintenance or repair work is to be performed exclusively by specially trained personnel, and whether any risks are involved in disassembling the system;
7.1.1.3. The procedure to be followed in the event of deployment shall be explained. In particular, details shall be given of any precautions to be taken as regards products generated by deployment, in the form of gases, liquids or solids. Similarly, if there is any danger from the components of the system as a result of deployment, such as dangerous roughness or sharp edges, temperature, corrosion, etc., these dangers shall be described, as well as the ways of avoiding them;
7.1.1.4. If the scrapping of the replacement airbag system(s) can lead to situations which are dangerous either directly to humans or to the environment, an appropriate procedure for avoiding them shall be indicated. This may consist in a method for deliberately releasing the airbag if its released state does not lead to a dangerous situation, in an obligation to return the system or part of it to the constructor or manufacturer, or in any other appropriate measure.
In particular. 7.2.1 we may collect personal information in the course of your instructions and while acting for you. This may include personal information about individuals who are employees, directors or principals of corporate clients. We ask you to assist us to make these individuals aware that our acting for you may involve collection of personal information about them;
7.2.2 we may decide that it is necessary to conduct further searches and enquiries regarding the information you have provided us or more generally concerning you or your associates for our regulatory or prudential purposes. This may entail using some or all of the collected information to obtain additional information concerning you or your associates (including personal information in respect of individuals), from various other entities including, but not limited to, government agencies, law enforcement bodies, publicly available records, public registries, court or tribunal records, ratings agencies, search agencies and regulatory and licensing bodies.
In particular. (1) The contract shall terminate absolutely and without further obligation on the part of the school system at the close of the calendar year in which it was executed and at the close of each succeeding calendar year for which it may be renewed as provided in this Code section.”
In particular except for permits, certificates, licences, registrations and other authorizations, the absence of which, individually or in the aggregate, does not and shall not result in a Material Adverse Effect, each of Anawa and the Subsidiaries hold all permits, certificates, licenses, registrations and other authorizations required under applicable Environmental Laws for their operations (the "Environmental Permits"); each such Environmental Permit is valid and in force and the operations of Anawa and the Subsidiaries are in compliance with the conditions set out in such Environmental Permits and their is no ground for revocation, expiry or annulment of any such Environmental Permits;
