Terms of Appointment: Duties of NSC. 1.01. Subject to the terms and conditions set forth in this Agreement, effective as of the date above, the Funds hereby employ and appoint NSC to act as, and NSC agrees to act as, transfer agent for the Funds’ authorized and issued shares of beneficial interest (“Shares”), dividend disbursing agent and agent in connection with any rights of accumulation, letters of intent or similar purchase plans provided to the shareholders of record of the Funds (“Shareholders”) and set out in the Prospectus (which term when used in this Agreement includes the Statement of Additional Information) of the Funds, as now in effect or as hereafter amended or supplemented from time to time without written objection by NSC or as mutually agreed upon from time to time.
