Common use of Testimony Clause in Contracts

Testimony. If SS&C is required by a third party subpoena or otherwise, to produce documents, testify or provide other evidence regarding the Services, this Agreement or the operations of a Fund in any Action to which a Fund or Investment Manager is a party or otherwise related to a Fund or Investment Manager, the applicable Fund and Investment Manager shall reimburse SS&C for all costs and expenses, including the time of its professional staff at SS&C’s standard rates and the cost of legal representation, that SS&C reasonably incurs in connection therewith.

If SS&C is required by a third party subpoena or otherwise, to produce documents, testify or provide other evidence regarding the Services, this Agreement or the operations of a Fund in any Action to which a Fund or Investment Manager is a party or otherwise related to a Fund, Fund or Investment Manager, the applicable Fund and Investment Manager shall reimburse SS&C for all costs and expenses, including the time of its professional staff at SS&C’s standard rates and the cost of legal representation, that SS&C reasonably incurs in connection therewith.

If SS&C is required by a third party subpoena or otherwise, to produce documents, testify or provide other evidence regarding the Services, this Agreement or the operations of a the Fund in any Action to which a the Fund or Investment Manager is a party party, SS&C reserves the right to charge a fee if the requests are voluminous and require extensive staff hours to compile the documents or otherwise related to a respond, except where such Action is the result of the negligence of SS&C or if the Fund or Investment Manager, is bringing the applicable Fund and Investment Manager shall reimburse SS&C for all costs and expenses, including the time of its professional staff at SS&C’s standard rates and the cost of legal representation, that SS&C reasonably incurs in connection therewith.Action against SS&C.

The fees of reputable counsel shall be deemed reasonable.
