The Build- Operate-Transfer Agreement. 1.1. 1.2. In connection with the Project, the Purchaser wishes to engage Provider to provide such services and take such actions on a Build- Operate-Transfer method (the “BOT”) under the conditions set forth in the Agreement.
1.3. The Purchaser commits that Provider will be the exclusive and the sole supplier for the Project (and for the avoidance of doubt, the Purchaser shall not be entitled to produce and issue Official Documents independently on its own) for such period as defined in the Agreement.
1.4. The Purchaser will use all means to protect Provider’s investment in the Project and the Provider’s ownership of the System, the Infrastructure and the “Transferred Equipment” (described in Appendix C), as mentioned in the Agreement.
1.5. The BOT of this Agreement consists of few phases as described in details in Appendix B - Statement of Work - (the “SOW”) and Appendix E - Project Implementation Plan (the “PIP”) to the Agreement.
