Common use of THE CHARGES Clause in Contracts

THE CHARGES. 5.1 The Customer shall pay the Charges for: (a) Each Service (whether or not the Service is used by the Customer); (b) Where applicable, the Mobile Equipment and/or fixed hardware; and (c) Any other products or services agreed between the parties from time to time, in accordance with this clause 5. 5.2 Most Charges are set out in the Commercial Schedule. Where a Charge is not set out in the Commercial Schedule, the Charge shall be: (a) as set out in the MIDSHIRE Price List at the time the Mobile Equipment, fixed hardware, Service or other agreed product or service was supplied; or (b) As notified to the Customer by MIDSHIRE. 5.3 All Charges shall be based upon call and billing data recorded by or on behalf of MIDSHIRE where applicable. 5.4 The Charges are exclusive of value added tax which will be charged at the prevailing rate. 5.5 Unless otherwise stated in the Commercial Schedule or the MIDSHIRE Price List, the following apply to UK domestic calls: (a) Call prices are quoted by the minute; (b) The duration of each call shall be measured in whole seconds, any part thereof will be rounded up to the next whole second; (c) Each call shall be charged excluding VAT, based on the duration, the ex VAT cost of each call is then calculated and the result rounded up to the nearest xxxxx. VAT is then added where applicable to the total of all charges on the Customer’s invoice; (d) Peak rate call Charges for Mobile Voice Services apply from 07:00 to 19:00, Monday to Friday; (e) Peak rate call Charges for Fixed Services – Calls Service apply from 08:00 to 18:00, Monday to Friday; (f) Weekend rate call Charges apply from midnight on Friday to midnight on Sunday; (g) off peak rate call Charges apply at all times when peak rate or weekend rate call Charges do not apply; and (h) All calls are subject to a minimum Charge. 5.6 Full details of international and roaming call Charges (including rounding policies) are available on request from xxxxxxx@xxxxxxxxxxxxxxx.xx.xx

THE CHARGES. 5.1 2.1. The daily rate stated above for each Ordered Service for which SERVICE PROVIDER Personnel are engaged is calculated on the basis of a seven and half- hour day between the hours of 9.00 am and 5.30 pm on a Working Day. 2.3. The CUSTOMER agrees to pay to the Charges for:SERVICE PROVIDER the cost of the Third Party Software licences plus the Sprint ii authorised mark-up of 1.95%. This mark-up will also apply to the cost of any annual licence renewals. (a) Each Service (whether 2.4. All consultancy Services provided by the Customer); (b) Where applicable, SERVICE PROVIDER shall be charged at the Mobile Equipment and/or fixed hardware; and (c) Any other products or services agreed between Daily Rates for the parties from time to time, in accordance with this clause 5. 5.2 Most Charges are Ordered Services set out in the Commercial Scheduletable at paragraph 2.1. The Parties have agreed that in the Commercial Schedule, the Charge following situations additional premiums shall be: (a) as set out in the MIDSHIRE Price List at the time the Mobile Equipment, fixed hardware, Service or other agreed product or service was supplied; or (b) As notified be applied to the Customer by MIDSHIREdaily rates as follows:- 2.2.1 for each additional Working Day hour: +33%; 2.2.2 for each hour worked during weekends +50%; 2.2.3 for each hour worked during a bank holiday in England & Wales +100%. 5.3 All 2.9. The SERVICE PROVIDER shall ensure that all SERVICE PROVIDER Personnel engaged in delivery of the Ordered Services completes a time sheet recording time spent providing the Ordered Services and the SERVICE PROVIDER shall use such time sheets to calculate the Charges shall be based upon call and billing data recorded for each monthly invoice. The SERVICE PROVIDER may charge travel time incurred by or on behalf of MIDSHIRE where applicable. 5.4 The Charges are exclusive of value added tax which will be charged at SERVICE PROVIDER Personnel travelling to the prevailing CUSTOMER Premises in accordance with the relevant daily rate. 5.5 Unless otherwise stated in 2.10. Part days shall be billed pro-rata at the Commercial Schedule or the MIDSHIRE Price List, the following apply to UK domestic calls: (a) Call prices are quoted daily rate determined by the minute; (b) The duration of each call shall be measured in whole seconds, any part thereof will be rounded up to the next whole second; (c) Each call shall be charged excluding VAT, based hours captured on the duration, the ex VAT cost of each call is then calculated and the result rounded up time sheet referred to the nearest xxxxx. VAT is then added where applicable to the total of all charges on the Customer’s invoice; (d) Peak rate call Charges for Mobile Voice Services apply from 07:00 to 19:00, Monday to Friday; (e) Peak rate call Charges for Fixed Services – Calls Service apply from 08:00 to 18:00, Monday to Friday; (f) Weekend rate call Charges apply from midnight on Friday to midnight on Sunday; (g) off peak rate call Charges apply at all times when peak rate or weekend rate call Charges do not apply; and (h) All calls are subject to a minimum Chargein paragraph 2.9 above. 5.6 Full details of international and roaming call Charges (including rounding policies) are available on request from xxxxxxx@xxxxxxxxxxxxxxx.xx.xx
