The Company and E Sample Clauses
The Company and E. ▇▇▇▇▇▇ W▇▇▇▇▇ have executed and delivered to each other a letter agreement whereby E. ▇▇▇▇▇▇ W▇▇▇▇▇ agrees to purchase the Company’s 19/60 percentage interest in Vision Exploration & Production Co., L.L.C. (“Vision Letter Agreement”), subject to the consummation of the Merger, which agreement is attached hereto as Annex I.
The Company and E. A Pool Credifors shall be entitled to exercise any right of set-off in relation to Agreed Liabilifies and liabilities owed by them to the Company which would be available to them in the absence of a liquidation of the Company pursuant to the Insolvengy Agf as amended, modified or re-enacted from time to time„
