The Company and H. C. Wainwright may from time to time supplement or amend this Purchasx Xxxxxx xxxxxxt the approval of any of the Holders in order to cure any ambiguity, to correct or supplement any provision contained herein that may be defective or inconsistent with any other provisions herein, or to make any other provisions in regard to matters or questions arising hereunder that the Company and H.C. Wainwright may deem necessary or desirable and that the Company axx X.X. Xxxxxxxght dxxx shall not adversely affect the interest of the Hoxxxxx. Xxx xxxxr xxxifications or amendments shall require the written consent of and be signed by the party against whom enforcement of the modification or amendment is sought.

  • The Company This Agreement shall inure to the benefit of and be enforceable by, and may be assigned by the Company to, any purchaser of all or substantially all of the Company’s business or assets, any successor to the Company or any assignee thereof (whether direct or indirect, by purchase, merger, consolidation or otherwise). The Company will require any such purchaser, successor or assignee to expressly assume and agree to perform this Agreement in the same manner and to the same extent that the Company would be required to perform it if no such purchase, succession or assignment had taken place.

  • THE COMPANY AND THE MASTER SERVICER Section 6.01. Respective Liabilities of the Company and the Master Servicer.
