In addition to the foregoing payments and benefits, the Executive also shall be entitled to receive the amounts due, if any, in respect of the Executive’s interests in the Company’s long-term incentive plans, including, but not limited to, (x) the Long-Term Performance-Based Cash Incentive Plan, and (y) the Long-Term Cash Incentive Plan.
Each of the Company and the Executive agrees not to make any disparaging comments or remarks, orally or in writing, about the other party following the termination or expiration of this Agreement.
If the Company provides notice to the Executive that the Company elects not to renew the Agreement at the end of the applicable Term, and the Executive’s employment hereunder is terminated at the end of the applicable Term, the Company shall pay the Executive upon the expiration of the Agreement, or as soon as reasonably practical (but no more than ten days) thereafter, any Accrued Obligations plus a lump sum payment equal to 200% of the Executive’s then Base Salary.
Any notice of Constructive Termination by the Executive shall be given by the Executive within 90 days of his becoming aware of the existence of the condition upon which the Constructive Termination is based.
During the Term, the Executive shall be entitled to participate in the Company’s health insurance, 401(k) and other benefit plans in accordance with Company policies and on the same general basis as other executives of the Company.
