State of New York Executive Department Office of General Services Procurement Services Corning Tower - 00xx Xxxxx Xxxxxx Xxxxx Xxxxx Xxxxxx, XX 00000 THIS CONTRACT (hereinafter “Contract” or “Centralized Contract”) for the acquisition of Project Based Information Technology Consulting Services is made between the People of the State of New York, acting by and through the Commissioner of the Office of General Services (hereinafter “State” or “OGS”) whose principal place of business is the 41st Floor, Corning Tower, The Governor Xxxxxx X. Laws of the State of New York The Contractor shall comply with all of the requirements set forth in Exhibit C hereto.
COMPETENT JURISDICTION The entire Agreement shall be governed by and construed in accordance with the laws of Gibraltar and the parties hereto irrevocably submit to the jurisdiction of the Courts of Gibraltar and irrevocably consents to the service of process out of such Courts by mailing copies thereof by registered mail, postage prepaid to his/her address.
Exclusion of applications on preliminary points of law Any recourse to any Court for the determination of a preliminary point of law arising in the course of the arbitration proceedings is excluded.
Geographic Scope, Governing Law & Venue This Agreement will be governed by and construed in accordance with the laws of the country of the Customer Business Address without regard to any contrary conflicts of law principles and excluding the United Nations Convention for the International Sale of Goods. All legal actions arising under this Agreement will be initiated and maintained in the state or the court of Vienna, Austria (Inner-City). Both parties hereby irrevocably consent to such jurisdiction and venue.
Competent Authority Exchange of information concerning Competent Authority Requests is expected to take place between the Competent Authorities or their authorized representatives. The Competent Authorities intend to provide written notification to each other providing contact information (name, title, and mailing address) for each jurisdiction’s Competent Authority for purposes of the IGA, and to update this contact information, as appropriate.
General Obligation Except as permitted by Clause 14.2, all Confidential Information shall be held confidential during and after the continuance of this contract and shall not be divulged in any way to any third party without the prior written approval of the other party.
