Common use of The Grantor's Duties Clause in Contracts

The Grantor's Duties. It is expressly agreed, anything herein contained to the contrary notwithstanding, that the Grantor shall remain liable to perform all of the obligations, if any, assumed by it with respect to the Assignment Revenues or the Assignment Collateral and the Administrative Agent and the Lenders shall have no obligations or liabilities (except obligations or liabilities resulting from the gross negligence or willful misconduct of the Administrative Agent and the Lenders) with respect to any Assignment Revenues or Assignment Collateral by reason of or arising out of or in connection with this Agreement, nor shall the Administrative Agent or the Lenders be required or obligated in any manner to perform or fulfill any of the obligations of the Grantor under or with respect to any Assignment Revenues or Assignment Collateral.
