The Licensee will. 5.1.1. issue passwords or other access information only to Authorised Users and use all reasonable efforts to ensure that Authorised Users do not divulge their passwords or other access information to any third party; 5.1.2. use all reasonable efforts to ensure that only Authorised Users are permitted access to the Licensed Work; 5.1.3. use best efforts to ensure that all Authorised Users are made aware of and undertake to abide by the terms of this Licence; 5.1.4. use all reasonable efforts to monitor compliance and notify the Publisher immediately and provide full particulars on becoming aware of any of the following (a) any unauthorised use of any of the Organisation's password(s); or (b) any breach by an Authorised User of the terms of this Agreement. Upon becoming aware of any breach of the terms of this Agreement the Organisation further agrees to promptly and fully investigate and initiate disciplinary procedures in accordance with the Authorised Organisation's standard practice and use all reasonable effort to ensure that such activity ceases and to prevent any recurrence; 5.1.5. comply with all computer security procedures required by Publisher and take all reasonable steps to ensure the security of the Licensed Work; and 5.1.6. provide the Publisher with such access information as is necessary to ensure access to the Licensed Work by Authorised Users and via the Secure Network of the Organisation and via the website of the Publisher.
The Licensee will. 5.1.1. permit access only to Authorised Users and Authorised Demonstrators; 5.1.2. use all reasonable efforts to ensure that only Authorised Users and Authorised Demonstrators are permitted access to the Licensed Work; 5.1.3. use best efforts to ensure that all Authorised Users and Authorised Demonstrators are made aware of and undertake to abide by the terms of this Licence; 5.1.4. use all reasonable efforts to monitor compliance and notify the Publisher immediately and provide full particulars on becoming aware of any of the following (a) any unauthorised use of any of the Institution's password(s); or
The Licensee will. 1.1 If a student of the College, comply with any Rules & Regulations of the College, together with any Rules for Residence or of the University as may be in force (this includes the Information for Members document). These are available upon request from the College Office. 1.2 Subject to any extension of time for payment being granted, pay the College the appropriate instalment of the Licence as set out in Appendix 1 to this agreement by Noon on the Thursday of 3rd Week of each term. 1.3 Occupy accommodation only during the Licence Period as set out in Appendix 1 to this agreement. Application to occupy beyond this period must be in writing on the appropriate vacation residence form and is subject to agreement by the College. 1.4 In the case of undergraduate students, return to the College any keys and/or keycards to the residential premises at the end of each Licence period (normally Noon on the Saturday of 8th Week); or failing that, reimburse the College with the cost of replacing the keycard and/or key(s) which is currently £20.00, in addition to the cost of vacation rent which shall be charged on a daily basis. Replacement of broken locks (inclusive of labour) is charged at cost. 1.5 Inform the College in writing, addressed to the Bursar, of: 1.5.1 Any defect in the residential premises at the commencement of the licence period. 1.5.2 Any deficiency of furniture or fittings at the commencement of the licence period. 1.6 Inform the College immediately of any defect in the residential premises requiring repair, or of any deficiency of the furniture or fittings, that may become apparent during any period of the Licence. 1.7 Permit the College’s employees or agents to enter the residential premises to inspect the same and the College’s furniture and effects therein, and carry out any works of maintenance or repair to the residential premises or elsewhere which the College may consider to be necessary (such entry to be granted following the giving of reasonable notice by the College to the Licensee, save in the event of an emergency, or other reasonable circumstances justifying immediate inspection). 1.8 Allow persons so authorised by the College to enter residential premises with advance notice wherever practical to remove anything found in the residential premises referred to in 2.4, 2.10, 2.14, 2.15, 2.20. 1.9 Keep the residential premises in a clean and sanitary condition. 1.10 At all times other than the Licence period(s) (except with express agreeme...

The Licensee will. 8.1.1 Effect and maintain adequate security measures to safeguard the Licensed Data and the Documentation from access or use by any unauthorised person 8.1.2 Retain the Licensed Data and the Documentation and all copies of either or both under the Licensee's effective control 8.1.3 Maintain a full and accurate record of the Licensee's copying and disclosure of the Licensed Data and produce that record to the Licensor on request.
The Licensee will. (a) not make additional copies of any Source Code except for one copy as necessary for back-up purposes and, for greater certainty, software may be provided to a sub-licensee in object-code form only as integrally incorporated into or with any Licensee Product for the purposes of any sub-licence agreement; (b) maintain and disallow the removal of any copyright or other proprietary notice in or on any Source Code; (c) allow any Source Code only to be used and accessed by Licensee; (d) not transmit, or provide access to, any Source Code over computers, systems and networks, to any third party; (e) not sublicence, assign, rent, sell, lease, distribute or otherwise transfer any Source Code other than as expressly permitted in this Licence Agreement; (f) not embed any Source Code into any other application and transfer or distribute such application to third parties; (g) not use the Source Codes to develop any product that is generally competitive with the Licensor's product offerings; and (h) not develop or test an interface to any Source Code or merge any Source Code with any other software.
The Licensee will. 6.1 not sub-licence the Works without the Licensors prior written permission; 6.2 not amend the Works in any way without the Licensors prior written permission; 6.3 include the Licensors copyright statement, as supplied, on the materials at all times. 6.4 always use the most up to date version of the Works, as supplied to them by the Licensors.
The Licensee will. 5.1.1 promote and publicise the availability of the Licensed Work to target audiences and Authorised Users; 5.1.2 issue passwords or other access information only to Authorised Users and use all reasonable efforts to ensure that Authorised Users do not divulge their passwords or other access information to any third party; 5.1.3 use all reasonable efforts to ensure that only Authorised Users are permitted access to the Licensed Work by means of the Licensee’s Secure Network; 5.1.4 use all reasonable efforts to ensure that all Authorised Users are made aware of and undertake to abide by the terms of this License; 5.1.5 use all reasonable efforts to monitor compliance and notify Digitorial and/or the Print-Publisher immediately and provide full particulars on becoming aware of any of the following: (a) any unauthorised use of 5.1.6 comply with all computer security procedures required by the Print-Publisher and Digitorial and take all reasonable steps to ensure the security of the Licensed Work; 5.1.7 provide such information as is necessary on the configuration of the Secure Network to Digitorial to ensure access to the Licensed Work by the Licensee’s Authorised Users. This may include: lists of valid IP addresses where appropriate; updates to those lists on a regular basis the frequency of which will be agreed by the parties from time to time.
The Licensee will. (a) complete a Series A financing, for a minimum of CDN$2,000,000, within 18 months of the Commencement Date; (b) ensure that, during the period commencing on the Commencement Date and ending on the date that is 36 months thereafter, the Gross Revenue equals not less than CDN$1,000,000; and (c) ensure that, during the Annual Period commencing on the date that is 36 months after the Commencement Date and during each Annual Period thereafter, the Gross Revenue equals not less than CDN$300,000.
The Licensee will i) Use the Licensed Area in a manner that does not unduly hinder the normal passage of any foot and vehicle traffic on or near the Property; ii) Comply with any notices given by the Licensor to carry out repair works or maintenance to the Licensed Area. The Licensee will carry out any works to the Licensor’s satisfaction within any reasonable time stipulated in the Licensor’s notice; iii) Pay all reasonable expenses that the Licensor incurs in supervising or inspecting any maintenance or repair works in respect of the Licensed Area; iv) Allow duly authorised agents and employees of utility or service companies to enter, remain on and re-enter the Property and/or the Licensed Area where necessary for the purpose of maintaining, replacing or repairing any utility or service provided to or near the Property and/or the Licensed Area; and v) Comply with the Licensee’s obligations stated in the Fourth Schedule of this Licence where applicable. The Licensor is entitled to add to or vary those obligations by written notice to the Licensee. The Licensee will comply with the additional or varied obligations from time to time the Licensee receives the notice.
