THE MEMBERS' DELIVERIES. The Members shall have delivered to ACME (a) certificates executed by the Members, dated the Closing Date, certifying to the fulfillment of the conditions set forth in Sections 7.1.1 and 7.1.2, and (b) documents executed by the Members sufficient to convey the Membership Interest to ACME upon ACME's satisfaction of its obligations underthis Agreement.
