The Offshore Company. (a) Upon execution of this Agreement, PUMA shall cause to be formed a subsidiary in Azer baijan ("PUMA AZ") to acquire the Company interest, and the Offshore Company. The PUMA subsidiary shall be owned 100% by PUMA. The Offshore Company shall be owned 50% by PUMA AZ, and 50% by Grunewald.
