THAT notwithstanding any act, deed, matter or thing whatsoever hereto- before done committed or knowingly suffered by the Owner/ Vendor to the contrary, the Owner/Vendor is lawfully and absolutely seized and possessed of or otherwise well and sufficiently entitled to the said flat TOGETHER WITH undivided impartible proportionate share of the land underneath of the building and also the benefits, rights and properties free from all encumbrances whatsoever and the Owner/Vendor has the sole right, full power and absolute authority to grant, sell, convey, transfer, assign and assure unto the Purchaser, the said flat TOGETHER WITH undivided impartible proportionate share of the land underneath of the building and also the benefits, rights and properties hereby sold and conveyed.

  • Compliance with the Agreement 16. (a) Within 10 days of this Agreement, the board of directors of the Bank shall appoint a committee (the “Compliance Committee”) to monitor and coordinate the Bank’s compliance with the provisions of this Agreement. The Compliance Committee shall include a majority of outside directors who are not executive officers or principal shareholders of the Bank, as defined in Sections 215.2(e)(1) and 215.2 (m)(1) of Regulation O of the Board of Governors (12 C.F.R. §§ 215.2(e)(1) and 215.2(m)(1). At a minimum, the Compliance Committee shall meet at least monthly, keep detailed minutes of each meeting, and report its findings to the board of directors of the Bank.

  • Non-compliance with the Clauses and termination (a) The data importer shall promptly inform the data exporter if it is unable to comply with these Clauses, for whatever reason.

  • Compliance with this Agreement The Purchaser shall have performed and complied with all of its agreements and conditions set forth or contemplated herein that are required to be performed or complied with by the Purchaser on or before the Closing Date.
