Common use of The Register Clause in Contracts

The Register. The Administrative Agent, acting for this purpose as a non-fiduciary agent of the Borrower, shall maintain at its address referred to in Section 14.8 a copy of each Assignment and Acceptance delivered to and accepted by it and a register (the “Register”) for the recordation of the names and addresses of the Lenders, the Revolving Credit Commitment of, and the principal amount of the Loans under the Revolving Credit Commitments owing to, each Lender from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an Assignment and Acceptance. The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Borrower and each of its Subsidiaries, the Administrative Agent and the other Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Register. The Administrative Agent, acting solely for this purpose as a non-fiduciary agent an Administrative Agent of the BorrowerBorrowers (and the Borrowers hereby designate the Administrative Agent to act in such capacity), shall maintain at one of its address referred to offices in Section 14.8 New York, New York a copy of each Assignment and Acceptance Agreement delivered to and accepted by it and a register (the “Register”) for the recordation of the names and addresses of the Lenders, and the Revolving Credit Commitment Loan Commitments of, and the principal amount amounts of and interest on the Loans under the Revolving Credit Commitments owing to, each Lender pursuant to the terms hereof from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an Assignment and Acceptanceassignment under this Section 13.3. The entries in the Register shall be conclusive and binding for all purposes, absent manifest errorconclusive, and the Borrower and each of its SubsidiariesBorrowers, the Administrative Agent and the other Lenders may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower or Borrowers and any Lender Lender, at any reasonable time and from time to time upon reasonable prior notice.

The Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Borrower Borrower, TMC and each of its their respective Subsidiaries, the Administrative Agent and the other Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.
