Common use of The Sale Clause in Contracts

The Sale. Upon the terms and subject to the conditions set forth in this Agreement, at the closing of the transactions contemplated by this Agreement (the “Closing”), Sellers shall transfer, convey, assign and deliver to Acquisition Sub, and Acquisition Sub shall purchase and acquire from Sellers, all of Sellers’ right, title and interest in and to the Transferred Interests (the “Sale”).

The Sale. Upon the terms and subject to the satisfaction of the -------- conditions set forth contained in this Agreement, at the closing of Closing, the transactions contemplated by this Agreement (the “Closing”)Seller shall sell, Sellers shall transferassign, convey, assign transfer and deliver to Acquisition Subthe Buyer, and Acquisition Sub the Buyer shall purchase and acquire from Sellersthe Seller, free and clear of all of Sellers’ rightEncumbrances (except for Permitted Encumbrances and the Operating Easement(s) granted in accordance with the Operating Easement Agreements and the Interconnection Agreement), title and interest in and to the Transferred Interests (the “Sale”)Purchased Assets.

Upon the terms and subject to the conditions set forth in this Agreement, at the closing of the transactions contemplated by this Agreement Closing, Seller shall (the “Closing”)or shall cause its applicable Subsidiaries to) sell, Sellers shall assign, transfer, convey, assign convey and deliver to Acquisition SubPurchaser, and Acquisition Sub Purchaser shall purchase and acquire from SellersSeller and its applicable Subsidiaries, all of Sellers’ right, title and interest in in, to and to under all of the Transferred Interests outstanding shares of Company Common Stock, free and clear of any Liens or rights or claims of others (the “Sale”).

Upon the terms and subject to the conditions set forth in this Agreement, at the closing of the transactions contemplated by this Agreement (the “Closing”), Sellers Seller shall (and shall cause its applicable Subsidiaries to) transfer, convey, assign and deliver to Acquisition SubPurchaser, and Acquisition Sub Purchaser shall purchase and acquire from SellersSeller and the applicable Subsidiaries of Seller, all of SellersSeller’s and its applicable Subsidiaries’ right, title and interest in and to the Transferred Interests and the Transferred Receivables, free and clear of all Liens (the “Sale”).
