This is the second Amendment to the Research Agreement (as amended, the “Agreement”), by and between SurgiVision, Inc, a Delaware corporation having a principal place of business at Xxx Xxxxxxxx Xxxxxx, Xxxxx 0000, Xxxxxxx, XX 00000 (“Sponsor”) and the University of Utah, a body politic and corporate of the State of Utah with a place of business at 00 Xxxxx 0000 Xxxx, Xx. 211 RAB, Xxxx Xxxx Xxxx, XX 00000 (“University”), executed by the Parties on July 2, 2007 and June 22, 2007, respectively. This Amendment has an effective date of April 24, 2009.
