Third-Party Offerings. Dell may offer Third-Party Products for use with the APEX Service through an online marketplace, or using Dell’s then-current Third-Party Product resale programs (e.g. “Extended Technologies Complete”, “Software & Peripherals (S&P)”). Third-Party Products that Distributor orders from Dell through these resale programs are referred to as “Third-Party Offerings”. Distributor may offer Third-Party Offerings to Reseller to offer to Customer for Customer’s use, at Distributor’s option, if available. If Distributor chooses to offer Third-Party Offerings to Reseller for Reseller to offer to Customer for Customer’s use, Distributor, Reseller, and Customer are responsible for complying with any terms applicable to the Third-Party Offerings, including any separate fees imposed by the provider of that Third-Party Offering (whether payable to Dell or directly to the third-party provider). Distributor agrees to comply with the standard license, services, warranty, indemnity, and support terms of the third-party manufacturer/supplier (or an applicable direct agreement between Distributor and the third-party manufacturer/supplier) for the Third Party Offering. Even if Dell invoices for them, Dell does not provide support services for Third-Party Offerings. Distributor must contact the applicable third-party directly for support. Third-Party Offerings are provided “AS IS”. Any warranty, damages or indemnity claims against Dell for Third-Party Offerings are expressly excluded. Dell may suspend or terminate provision and hosting of any Third- Party Offerings at any time, and that suspension or termination will not be deemed a material change to the APEX Service for the purpose of Clause 3.2 (Material Modifications).

Third-Party Offerings. The Software may allow you to access the contents, software applications and data services of a third party, including but not limited to a variety of Internet applications ("Third Party Offerings") and interoperate with them. Your access to and use of any Third Party Offering is governed by the agreed terms and conditions in connection with the offering and the copyright laws of the country the third party belongs to. Third Party Offerings are not owned or provided by the PenPower. Third Party Offerings may at any time for any reason be modified or discontinued. PenPower does not control, endorse, or accept any responsibility associated with Third Party Offerings. Any agreement between you and any third party in connection with a Third Party Offering, including privacy policies and use of your personal information, delivery of and payment for goods and services, and any other terms, conditions, warranties, or representations of the third party associated with such agreement is solely a dealing between you and the third party. Third-Party Offerings. Certain uses of Software may allow Customer to evaluate and use third- party applications and/or services (“Third Party Offerings”). Customer’s use of Third Party Offerings will be governed by terms Customer must accept during the installation or registration process. Questions about the terms should be addressed directly to the Third Party Offering provider. Third Party Offerings may involve the exchange of data with the Software. Cisco is not responsible for Customer’s data outside of the Software or for modifications or deletions of Customer’s data made by third parties or their Third Party Offerings. If Customer has questions or concerns about the processing or handling of Customer’s data by Third Party Offering providers, Customer shall contact those providers directly. Customer bears all risks associated with using or relying upon Third Party Offerings. Cisco and the Third Party Offering provider do not warrant the accuracy, reliability, completeness, usefulness, non-infringement, or quality of any Third Party Offerings and hereby disclaim all express and implied warranties, including any implied warranties of merchantability or fitness for a particular purpose, relating to such Third Party Offerings. Cisco and the Third Party Offering provider shall not be liable or responsible in any way for any losses or damage of any kind, including lost profits or other indirect or consequential damages, relating to Customer’s use of or reliance upon any Third Party Offering.
Third-Party Offerings. From time to time, third party services provided by ECHEZ with ECHEZ’s Services (“Third Party Offerings”) may become available. By using a Third Party Offering, Company authorizes sharing data with third-party providers and acknowledges that Company’s agreement with the third-party provider governs the Third Party Offering and the third party’s use of Company Confidential Information. Company assumes full responsibility for any damages, losses, costs, or xxxxx arising from the use of or inability to use such Third Party Offerings. In addition, if required by a government regulator, court order or similar legal authority, or as otherwise required by such third party in connection with the Services, Company agrees that ECHEZ may delete specified data associated with the Services in order to comply. With respect to Company’s or third parties’ technology or information used or integrated with ECHEZ’s Services, Company or the applicable third party will be and remain responsible for their respective services, technologies and personnel, and all matters related thereto. ECHEZ does not monitor or control such limitation, suspension or termination of their services and specifically disclaims any liability with regard to such service limitation, suspension or termination. EXCEPT AS EXPRESSLY WARRANTED IN THIS AGREEMENT, ALL SUCH SERVICES ARE PROVIDED "AS IS" AND ECHEZ HEREBY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND OTHER TERMS AND CONDITIONS WITH REGARD TO SUCH SERVICES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ALL WARRANTIES AND CONDITIONS OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
Third-Party Offerings. Your acquisition or use of a Third Party Offering, and any exchange of data between You and any third party or the Third Party Offering, is solely between You and the applicable third party. We do not warrant or support Third Party Offerings. If You choose to use a Third Party Offering with the C3 AI Software, You grant Us permission to allow the Third Party Offering and its provider to access Customer Data as required for the interoperation of that Third Party Offering with the C3 AI Software. We are not responsible for any disclosure, modification, or deletion of Customer Data resulting from access by such Third Party Offering or its provider.
