Common use of Third Party Property Clause in Contracts

Third Party Property. If the Premises, or the property on which it is located, is leased by BellSouth from a Third Party or otherwise controlled by a Third Party, special considerations and intervals may apply in addition to the terms and conditions of this Agreement. Additionally, where BellSouth notifies ALEC Inc., that BellSouth’s agreement with a Third Party does not grant BellSouth the ability to provide access and use rights to others, upon ALEC Inc.,’s request, BellSouth will use its best efforts to obtain the owner’s consent and to otherwise secure such rights for ALEC Inc.,. ALEC Inc., agrees to reimburse BellSouth for the reasonable and demonstrable costs incurred by BellSouth in obtaining such rights for ALEC Inc.,. In cases where a Third Party agreement does not grant BellSouth the right to provide access and use rights to others as contemplated by this Agreement and BellSouth, despite its best efforts, is unable to secure such access and use rights for ALEC Inc., as above, ALEC Inc., shall be responsible for obtaining such permission to access and use such property. BellSouth shall cooperate with ALEC Inc., in obtaining such permission.

ALEC Inc., ACCESS Integrated agrees to reimburse BellSouth for the reasonable and demonstrable costs incurred by BellSouth in obtaining such rights for ALEC Inc.,ACCESS Integrated. In cases where a Third Party agreement does not grant BellSouth the right to provide access and use rights to others as contemplated by this Agreement Attachment and BellSouth, despite its best efforts, is unable to secure such access and use rights for ALEC Inc., ACCESS Integrated as above, ALEC Inc., ACCESS Integrated shall be responsible for obtaining such permission to access and use such property. BellSouth shall cooperate with ALEC Inc., ACCESS Integrated in obtaining such permission.
