Time is of the Essence; No Waiver. For all times specified in the Agreement for the performance of the obligations of the Parties, time shall be deemed of the essence. Failure or delay on the part of either Party to exercise any right, power, privilege, or remedy under this Agreement, shall not constitute a waiver thereof. No modification or waiver by either Party of any provision hereof shall be deemed to have been made unless made in writing.

No failure on the part of the Holder to exercise, and no delay in exercising, any right, power or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy by the Holder preclude any other or further exercise thereof or the exercise of any other right, power or remedy. Landlord’s receipt and acceptance of any payment from Tenant which is tendered not in conformity with the provisions of this Lease or following an Event of Default (regardless of any endorsement or notation on any check or any statement in any letter accompanying any payment) shall not operate as an accord and satisfaction or a waiver of the right of Landlord to recover any payments then owing by Tenant which are not paid in full, or act as a bar to the termination of this Lease and the recovery of the Premises because of Tenant’s previous default.
