Time of the Essence; Calculation of Time Periods. The parties agree that time shall be of the essence in the performance of the Company’s obligations hereunder. Except as otherwise indicated, all periods of time referred to herein shall include all Saturdays, Sundays and holidays; provided, however, that if the date to perform the act or give any notice with respect to this Agreement shall fall on a day other than a Business Day, such act or notice may be timely performed or given if performed or given on the next succeeding Business Day.
